1.Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Uplift Ventures, operating as Dhyay ("we," "us," or "our"), governing your access to and use of the Dhyay platform, available at https://dhyay.app, including our progressive web application, and all related services (collectively, the "Service").

By accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (available at https://dhyay.app/privacy). If you do not agree to these Terms, you must not use the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated via a prominent notice on the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

2.Description of Service

Dhyay is a platform that connects seekers of Vedic astrological guidance with verified astrologers. The Service facilitates asynchronous consultations where seekers submit questions and astrologers provide responses through the platform.

2.1Role of the Platform

Dhyay serves as an intermediary platform that facilitates connections between seekers and astrologers. We are not an astrology service provider. We do not provide astrological advice, predictions, remedies, or guidance directly. Astrologers listed on the platform are independent practitioners and not employees, agents, or representatives of Dhyay.

2.2Nature of Astrological Services

Astrological consultations facilitated through the Service are for informational, spiritual, and personal guidance purposes only. They do not constitute and should not be treated as substitutes for professional advice in areas including but not limited to medical, legal, financial, or psychological matters. Users are advised to exercise their own judgement and consult qualified professionals for decisions in such areas.

3.User Categories and Eligibility

3.1Eligibility

To use the Service, you must be at least 18 years of age and capable of forming a legally binding contract under applicable law. By using the Service, you represent and warrant that you meet these requirements.

3.2Seekers

Seekers are individuals who use the platform to discover astrologers and book consultations. Seeker accounts are created during the checkout process using phone number and OTP verification.

3.3Astrologers

Astrologers are independent practitioners who offer astrological services through the platform. Astrologers must complete a verification process, including YouTube channel verification, and receive administrative approval before their profile is made live on the platform. Dhyay reserves the sole right to approve or reject astrologer applications at its discretion.

4.Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials, including your phone number and OTP access. You agree to notify us immediately of any unauthorised use of your account.

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account.

We reserve the right to suspend or terminate any account that we reasonably believe is being used in violation of these Terms, without prior notice.

5.Consultation Terms

5.1Booking and Payment

Seekers must complete payment before submitting consultation details. This payment-before-form design is an intentional feature of the Service. All payments are processed through our third-party payment gateway and are subject to the payment provider's terms and conditions.

5.2Consultation Lifecycle

Each consultation follows a defined lifecycle: payment, question submission, astrologer acceptance or rejection (within 24 hours), astrologer response (within the service-level commitment, typically up to 7 days), an optional follow-up window (24 hours, maximum 2 follow-up questions), and optional WhatsApp escalation if initiated by the astrologer. Consultations auto-complete if no follow-up activity occurs within the follow-up window.

5.3Astrologer Acceptance and Rejection

Astrologers may accept or reject consultation requests at their discretion within 24 hours of receiving a request. If an astrologer rejects a request or fails to respond within 24 hours, the seeker will be notified and a refund will be initiated as per our refund policy.

5.4Follow-Up Window

After the astrologer provides an initial response, seekers have a 24-hour window to submit up to 2 text-based follow-up questions relevant to the original consultation. Follow-up questions must be within the scope of the original consultation. Each follow-up resets the 24-hour timer. After the window expires, the consultation is marked as complete.

5.5WhatsApp Escalation

For complex consultations, astrologers may choose to share their WhatsApp contact number within the consultation room. Seekers may then reach out directly. Dhyay does not mediate, monitor, or bear responsibility for communications that occur outside the platform.

6.Payments and Refunds

6.1Pricing

Consultation prices are set by individual astrologers. Dhyay does not control or regulate pricing. All prices displayed on the platform are in Indian Rupees (INR) unless otherwise stated.

6.2Revenue Split

Dhyay retains an 11% platform fee from each completed consultation. The remaining 89% is disbursed to the astrologer as per the payout schedule.

6.3Payout Schedule

Astrologer earnings are disbursed on a periodic payout cycle. Payouts are credited to the astrologer's registered bank account within 2-3 business days of payout processing.

6.4Refunds

Refunds may be issued in the following circumstances:

  • An astrologer rejects the consultation request
  • An astrologer fails to accept the consultation within 24 hours
  • An astrologer fails to respond within the committed response time
  • A technical failure prevents the consultation from being completed

Refund processing times depend on the payment method and payment provider. Dhyay will initiate refunds promptly, but the credit to your account may take up to 7-10 business days depending on your bank or payment provider.

Refunds will not be issued for completed consultations where the astrologer has provided a response, regardless of the seeker's satisfaction with the guidance received. Astrological guidance is subjective in nature and outcomes may manifest over extended periods.

7.Content and Intellectual Property

7.1Platform Content

All content on the Service, including but not limited to text, graphics, logos, icons, images, audio, and the underlying code ("Platform Content"), is the property of Dhyay or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from Platform Content without our prior written consent.

7.2User Content

You retain ownership of content you submit through the Service, including consultation questions, audio recordings, and profile information ("User Content"). By submitting User Content, you grant Dhyay a non-exclusive, worldwide, royalty-free licence to use, store, process, and display such content solely for the purpose of operating and improving the Service.

7.3Astrologer Content

Astrologers retain ownership of their consultation responses and profile content. By providing content through the Service, astrologers grant Dhyay a non-exclusive licence to store, transmit, and display such content to the relevant seeker and for platform operations.

8.YouTube API Services

The Service uses YouTube API Services for two purposes: (a) astrologer credential verification during the onboarding process, and (b) displaying astrologer YouTube videos on their platform profiles to help seekers evaluate expertise before booking consultations. By using the Service, you agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms).

Our use of YouTube data is governed by our Privacy Policy and the Google API Services User Data Policy (https://developers.google.com/terms/api-services-user-data-policy). Complete details of what YouTube data we access, how we use it, how we store it, and how users can request deletion are provided in Section 5 of our Privacy Policy.

YouTube videos displayed on astrologer profiles are rendered using YouTube's official embedded player (IFrame Player API). We do not download, host, modify, or overlay YouTube video content. Video playback occurs directly from YouTube's servers, and users interacting with embedded YouTube videos are subject to YouTube's Terms of Service and Google's Privacy Policy.

We do not access private YouTube user data. We do not require YouTube OAuth authentication from seekers or astrologers. Our YouTube API usage is limited to fetching publicly available channel and video metadata for the astrologer verification and video display features described above.

9.Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Impersonate any person or entity, or falsely represent your identity, qualifications, or affiliation
  • Submit false, misleading, or fraudulent information in consultations or profiles
  • Harass, abuse, threaten, or intimidate other users, including astrologers or seekers
  • Attempt to circumvent the platform to avoid payment or platform fees
  • Scrape, crawl, or use automated means to access the Service or extract data without our written consent
  • Interfere with or disrupt the Service, servers, or networks connected to the Service
  • Upload or transmit viruses, malware, or other harmful code
  • Use the Service to collect or harvest personal information of other users
  • Reproduce, duplicate, or resell any part of the Service without our express written permission
  • Use the Service to promote other platforms, services, or commercial interests without our prior consent

10.Disclaimers

10.1No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10.2Astrological Services Disclaimer

Dhyay does not endorse, guarantee, or verify the accuracy, reliability, or effectiveness of any astrological guidance, predictions, remedies, or advice provided by astrologers on the platform. Astrologers are independent practitioners, and their views, opinions, and guidance are their own. Users rely on astrological guidance at their own risk and discretion.

10.3No Professional Advice

Nothing on the Service constitutes professional medical, legal, financial, psychological, or other expert advice. Astrological consultations are spiritual and personal guidance services only. Users should always seek qualified professional advice for matters concerning health, law, finance, and mental wellbeing.

11.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DHYAY AND ITS OWNER, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE AMOUNT PAID BY YOU TO DHYAY IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR INR 5,000, WHICHEVER IS GREATER.

These limitations apply regardless of the legal theory on which the claim is based, whether we have been advised of the possibility of such damages, and whether a remedy fails of its essential purpose.

12.Indemnification

You agree to indemnify, defend, and hold harmless Dhyay, Uplift Ventures, and their owner, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, your violation of any rights of another party, or any content you submit through the Service.

13.Issue Resolution

If you experience an issue with a consultation or the Service, you may report it through the "Report Issue" feature within the platform or by contacting us at support@dhyay.app. All issue reports are reviewed and mediated by the Dhyay administrative team. Astrologers are not directly exposed to issue reports or complaints.

We aim to acknowledge all reported issues within 48 hours and resolve them within 15 business days.

14.Suspension and Termination

We reserve the right to suspend or terminate your access to the Service, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Extended inactivity
  • Failure to comply with astrologer verification requirements (for astrologer accounts)
  • At our sole discretion, if we determine your continued use is detrimental to the Service or other users

Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15.Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Indore, Madhya Pradesh, India.

16.Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

17.Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Dhyay with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

18.No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Dhyay.
